Terms and Conditions

These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“User”, “you”, or “your”) and Solution Tech S.r.l., with registered office at Via Vittorio Veneto 1/C - 38086 Rovereto (TN), Italy (“Solution Tech”, “we”, “us”, or “our”), governing your access to and use of the Service (as defined below).

By downloading, installing, accessing, or using any component of the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.


Definitions and Parties

  • Solution Tech S.r.l. (“Solution Tech”) is the company that designs, develops, and operates the technology platform, backend infrastructure, firmware, mobile applications, and web dashboards described in these Terms.
  • NextAirQ is the name of the IoT platform for HVAC services developed and maintained by Solution Tech.
  • Service refers to the NextAirQ platform as a whole, including all of its components:
    • IoT Firmware — the embedded software running on compatible devices that enables connectivity, telemetry, and remote control;
    • Cloud System — the backend servers, databases, APIs, and cloud infrastructure that process, store, and relay data between devices and client applications;
    • Mobile Apps — the iOS and Android applications that allow users to monitor and control their devices;
    • Dashboard — the web-based management interface for monitoring, configuration, and administration of devices and installations.
  • OEM (Original Equipment Manufacturer) refers to the manufacturer or brand that commercializes the physical devices and distributes a branded version of the Mobile Apps under its own name and trademarks. The OEM is responsible for the physical products, their warranties, and any product-specific claims. The identity of the OEM is indicated by the brand name and logo displayed within the Mobile Apps and Dashboard.

While the Service may carry the branding of the OEM, it is developed and operated by Solution Tech on the NextAirQ platform. These Terms govern the relationship between you and Solution Tech as the provider of the technology and the Service. For product-related inquiries, warranties, or claims regarding the physical devices, please refer to the OEM.


1. Eligibility

The Service is intended for use by individuals who are at least 18 years of age. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into this agreement. If you are under 18, you are not permitted to use the Service and must delete any installed applications immediately.

2. Description of the Service

The Service provides remote monitoring, management, and control of compatible climate and HVAC devices (including but not limited to heat pumps, fan coils, thermostats, and ventilation units) through the coordinated operation of IoT firmware, cloud infrastructure, mobile applications, and web dashboards. The Service allows users to:

  • Create and manage a user account;
  • Register and configure compatible devices;
  • Monitor device status and telemetry in real time;
  • Adjust temperature setpoints, operating modes, and fan speeds;
  • Create automated schedules and presets;
  • Manage installations via the web-based Dashboard.

The Service is provided as a companion tool and does not replace the physical controls of any device. The Service relies on internet connectivity between all components (device firmware, cloud, and client applications) and may not be available at all times.

3. Account Registration and Security

3.1. To use the Service, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

3.2. You agree to notify us immediately of any unauthorized access to or use of your account. We are not liable for any loss or damage arising from your failure to protect your account credentials.

3.3. We reserve the right to suspend or terminate your account if we reasonably believe that your account information is inaccurate, or that your account has been compromised or is being misused.

4. License

4.1. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service — including downloading and installing the Mobile Apps on devices that you own or control — solely for your personal, non-commercial use.

4.2. You may not:

  • Copy, modify, distribute, sell, lease, sublicense, or reverse-engineer the Service or any of its components;
  • Use the Service for any commercial or unauthorized purpose;
  • Attempt to gain unauthorized access to our systems, servers, or networks;
  • Remove, alter, or obscure any proprietary notices, labels, or marks in the Mobile Apps, Dashboard, or any other component of the Service;
  • Use automated means (bots, scrapers, or similar) to access the Service or collect data from it.

4.3. Reverse Engineering Prohibition. You are expressly prohibited from reverse-engineering, decompiling, disassembling, or otherwise attempting to derive the source code, underlying algorithms, data structures, or protocols of any component of the Service, including but not limited to the Mobile Apps, the Dashboard, the IoT Firmware, the Cloud System, and the application programming interfaces (APIs). This prohibition applies regardless of the method used, including but not limited to static analysis, dynamic analysis, network traffic inspection, firmware extraction, or any form of protocol reverse engineering. Any attempt to reconstruct or replicate the functionality of our software, APIs, or backend services constitutes a material breach of these Terms.

5. API Usage and Rate Limiting

5.1. Where APIs are made available to you as part of the Service, they are provided for your personal, non-commercial use only and are subject to these Terms. Access to APIs does not grant you any rights beyond what is expressly stated herein.

5.2. Rate Limiting. All API access is subject to rate limits as determined by us at our sole discretion. You must respect these rate limits and design your usage patterns accordingly. Rate limits may be adjusted at any time without prior notice.

5.3. Excessive Traffic and Abuse. We reserve the right to throttle, suspend, or permanently block API access for any user or application that generates excessive traffic, engages in abusive usage patterns, or otherwise degrades the quality of the Service for other users. Such action may be taken without prior notice.

5.4. API Credentials Are Confidential. API keys, access tokens, and any other credentials issued to you are strictly confidential and must be treated with the same care as a password. You are solely responsible for safeguarding your API credentials and for all activity that occurs using them. You must not:

  • Share, publish, or disclose your API keys or credentials to any third party, whether an individual, business, or service;
  • Embed API credentials in publicly accessible code, repositories, or client-side applications;
  • Allow any third-party service or application to use your credentials to access our APIs on your behalf.

5.5. Third-Party Data Access. If you wish to authorize a third-party business or service to access data from your account or devices, the third party must enter into a separate commercial agreement directly with Solution Tech S.r.l. Unauthorized third-party access through shared credentials constitutes a material breach of these Terms and may result in immediate termination of your account without notice. 5.6. Commercial and Professional Use. For commercial applications, fleet management, multi-site installations, and professional use cases, Solution Tech provides dedicated web dashboards and management tools that offer more suitable access controls, multi-user management, and monitoring capabilities. Commercial users should contact us at info@solutiontech.tech to discuss the appropriate tools and licensing for their needs.

6. Device Compatibility and Third-Party Hardware

6.1. The Service is designed to work with specific compatible devices. We do not guarantee compatibility with all hardware, firmware versions, or network configurations. It is your responsibility to verify compatibility before purchasing any device.

6.2. The Service does not replace the manufacturer’s installation and safety instructions. All devices must be installed by qualified professionals in accordance with applicable regulations and manufacturer guidelines.

6.3. We are not the manufacturer of the physical devices controlled through the Service. Any warranty, product liability, or safety claim relating to the physical device itself must be directed to the device manufacturer.

7. Availability and Updates

7.1. We strive to maintain the Service available at all times but do not guarantee uninterrupted, error-free, or secure operation. The Service may be temporarily unavailable due to maintenance, updates, server issues, or circumstances beyond our control.

7.2. We may release updates to the Mobile Apps, Dashboard, IoT Firmware, or Cloud System from time to time. Some updates may be required for continued use of the Service. Continued use of the Service after an update constitutes acceptance of any modified functionality.

7.3. We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We will make reasonable efforts to provide advance notice of any material changes or discontinuation.

8. User Responsibilities

8.1. You agree to use the Service only for its intended purpose and in compliance with all applicable laws and regulations.

8.2. You are solely responsible for:

  • The proper installation, configuration, and maintenance of your devices;
  • Ensuring that your device settings (temperature setpoints, schedules, modes) are appropriate for your environment and do not create unsafe conditions (e.g., frozen pipes, overheating, legionella risk in hot water systems);
  • Any consequences arising from remote control commands sent through the Service.

8.3. The Service is a remote monitoring and control tool and is not a safety system. You must not rely on the Service as the sole means of preventing property damage, personal injury, or any hazardous condition. You must ensure that independent safety systems and protections are in place at all times.

9. Intellectual Property

9.1. The Service — including all of its components (Mobile Apps, Dashboard, IoT Firmware, Cloud System, APIs), and all associated content, features, functionality, software, code, design, text, graphics, logos, and trademarks — is the exclusive property of Solution Tech S.r.l. or its licensors and is protected by applicable intellectual property laws.

9.2. These Terms do not grant you any right, title, or interest in the Service beyond the limited license set forth in Section 4.

10. Privacy and Data Protection

10.1. Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, store, and protect your personal data. The Privacy Policy is the sole document that specifies what data is collected, how it is processed, and for what purposes. By using the Service, you acknowledge that you have read and understood the Privacy Policy.

10.2. For users located in the European Union: additional rights and information regarding data generated by your connected devices are available in our EU Data Act compliance page, in accordance with Regulation (EU) 2023/2854. This includes your rights to access, use, and share device-generated data.

10.3. Changes to the Privacy Policy. We may update the Privacy Policy from time to time to reflect changes in our data practices, legal requirements, or the functionality of the Service. When material changes are made to the Privacy Policy, all users will be notified through the Mobile Apps, the Dashboard, or via email to the address associated with their account. In certain cases, we may require your explicit consent to the updated Privacy Policy before we can continue to process your data. Until such consent is provided, some or all features of the Service may be unavailable — for example, we cannot provide device monitoring, telemetry, remote control, or diagnostic services if you do not consent to the data processing required to deliver those features.

10.4. User Roles and Privacy Consent. The Service supports different user roles within a home:

  • Owner — the user who created the home. The Owner has full administrative control over the home, its devices, and its members. The Owner is responsible for accepting the Privacy Policy and any updates thereto on behalf of the home. The Owner’s consent governs the data collection and processing for all devices and data associated with that home.
  • Member — a user invited by the Owner to access and control devices within the home. Members operate under the privacy consent granted by the Owner for the home’s device data. Members remain individually responsible for their own account-level personal data (name, email, credentials) as described in the Privacy Policy.

By inviting Members to a home, the Owner represents and warrants that they have informed the Members of the applicable data collection and processing practices as described in the Privacy Policy. If the Owner withdraws consent or declines to accept an updated Privacy Policy, the Service may become unavailable for all users of that home, including Members.

10.5. For any questions related to your personal data, data access requests, or data portability, please refer to the Privacy Policy or contact us at info@solutiontech.tech.

10.6. Security Incident Reporting. If you discover a security vulnerability or become aware of a cyber security incident affecting any component of the Service — including the Mobile Apps, Dashboard, IoT Firmware, Cloud System, or APIs — please report it responsibly following the instructions published at /.well-known/security.txt. Reports should be sent to security@nextairq.com. Do not publicly disclose any vulnerability before we have had a reasonable opportunity to investigate and address it.

11. Disclaimer of Warranties

11.1. THE SERVICE AND ALL OF ITS COMPONENTS ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.

11.2. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

11.3. WE DO NOT WARRANT THAT:

  • The Service will meet your requirements or expectations;
  • The Service will operate without interruption, errors, or security breaches;
  • The results obtained through the Service will be accurate, reliable, or complete;
  • Any defects in the Service will be corrected.

11.4. No advice or information, whether oral or written, obtained from us or through the Service creates any warranty not expressly stated in these Terms.

12. Limitation of Liability

12.1. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SOLUTION TECH S.R.L., ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, or data;
  • Property damage or personal injury resulting from the use or inability to use the Service;
  • Damage caused by device malfunction, misconfiguration, or connectivity failures;
  • Costs of substitute goods or services;
  • Any matter beyond our reasonable control.

12.2. OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO US, IF ANY, IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

12.3. THE LIMITATIONS IN THIS SECTION APPLY REGARDLESS OF THE LEGAL THEORY ON WHICH THE CLAIM IS BASED, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

12.4. For users in the European Union: nothing in these Terms excludes or limits liability for (a) death or personal injury caused by gross negligence or willful misconduct; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be excluded or limited under applicable EU or member state law, including mandatory consumer protection regulations.

12.5. For users in the United States: some states do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations may not apply to you in full. In such cases, our liability shall be limited to the greatest extent permitted by applicable state law.

13. Indemnification

You agree to indemnify, defend, and hold harmless Solution Tech S.r.l., its directors, officers, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

  • Your use or misuse of the Service;
  • Your violation of these Terms;
  • Your violation of any applicable law or regulation;
  • Any claim that your use of the Service caused damage to a third party;
  • Improper installation, configuration, or maintenance of devices controlled through the Service.

14. Termination

14.1. You may terminate your use of the Service at any time by deleting your account and uninstalling the Mobile Apps from your devices.

14.2. We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice, including but not limited to cases where we reasonably believe you have violated these Terms.

14.3. Upon termination, your right to use the Service ceases immediately. Sections 5, 9, 11, 12, 13, 15, and 16 shall survive termination.

14.4. Following account deletion, your personal data will be handled in accordance with the retention periods described in our Privacy Policy.

15. Governing Law and Dispute Resolution

15.1. For users in the European Union: these Terms are governed by and construed in accordance with the laws of Italy, without regard to conflict-of-law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Rovereto (TN), Italy. Nothing in these Terms affects your rights as a consumer under the mandatory consumer protection laws of your country of residence. EU consumers may also use the European Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.

15.2. For users in the United States: these Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict-of-law provisions. Any disputes arising under these Terms shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, conducted in English. You agree to waive any right to a jury trial or to participate in a class action. If a court of competent jurisdiction finds the arbitration clause unenforceable, exclusive jurisdiction shall lie with the federal and state courts located in the State of Delaware.

16. General Provisions

16.1. Entire Agreement. These Terms, together with the Privacy Policy and the EU Data Act compliance page, constitute the entire agreement between you and Solution Tech S.r.l. regarding the use of the Service and supersede all prior agreements and understandings.

16.2. Severability. If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

16.3. Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

16.4. Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

16.5. Force Majeure. We shall not be liable for any failure or delay in performing our obligations under these Terms due to circumstances beyond our reasonable control, including but not limited to natural disasters, war, terrorism, pandemics, government actions, power failures, internet or telecommunications failures, or third-party service outages.

16.6. Modifications. We reserve the right to modify these Terms at any time. Material changes will be communicated through the Mobile Apps, the Dashboard, or via email to the address associated with your account. Your continued use of the Service after such notification constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service and delete your account.
